Faculty participating in CBA Continuing Legal Education programs are asked to agree to the following terms and conditions. CBA Continuing Legal Education programs are typically archived in the CBA's on demand video library for a period of two years from the date of the live program. The agreement can be completed by faculty members by clicking here

1. Rights Granted to CBA; Ownership of the Work.
1.1 In consideration of the Undersigned’s participation in a continuing legal education program or other event sponsored in whole or in part by The Chicago Bar Association (“CBA”), and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Undersigned hereby sells, transfers and assigns to the CBA, its successors, and assigns, forever and throughout the world, the exclusive right to (a) record or transmit their likeness and/or voice by any art or method (“Recordings”) on or in any medium, whether now known or later devised, including but not limited to film, videotape, audiotape, electronic media, videoconference, teleconference, intranet, or internet (collectively, “Media”), in connection with the above referenced program, (b) edit, change, alter, revise, add to, or subtract from such Recordings, or combine them with material furnished or created by others, at the sole discretion of the CBA, (c) incorporate the Recordings or modified Recordings in whole or in part into one or more products in any Media (a “Work”), and (d) copy, broadcast, webcast, distribute, transmit, stream, sell, rent, license, copyright, trademark, patent, publish, exploit, exhibit, perform, display, transcribe, translate, view, or otherwise use or reuse any Work in whole or in part, and permit others to do so.

1.2 The Undersigned grants the CBA a non-exclusive, perpetual, irrevocable, royalty-free license to incorporate in any Work relating to the Program any written, electronic, or other materials provided by the Undersigned to the CBA in connection with the Undersigned’s participation in the Program (“Materials”).  The CBA shall not edit the substance of the Materials without the written consent of the Undersigned, which consent shall not be unreasonably withheld or delayed.

1.3 The Undersigned grants the CBA the nonexclusive perpetual, irrevocable, royalty-free right to use, and to permit or license others to use, the Undersigned’s name, biographical information, likeness, and any portion of the Recordings or Materials, in connection with the advertising, exploitation, or publicizing in any Media of the Program or any Work.

1.4 The CBA shall own all rights in all Works, and may exercise, perform, practice, exploit, transfer, license, or otherwise use those rights in its sole discretion. 

1.5 All rights granted to the CBA in this Agreement are irrevocable and shall immediately vest and remain vested in the CBA, its successors, and assigns.

2. Rights and Obligations Regarding the Materials.
Subject to the terms of Paragraphs 1.1 through 1.5 of this Agreement, the Undersigned shall retain the ownership of the Undersigned’s copyright and all other rights, title, and interest in and to the Materials.  The Undersigned shall not represent that the Materials are sponsored or endorsed by, or in any way connected with, the CBA.

3. Representations and Warranties.
The Undersigned represents and warrants that no aspect of the Materials, nor any statements or actions of the Undersigned in connection with the Program, shall (a) violate the right of privacy of, (b) constitute a libel or slander against, or (c) infringe, misappropriate or violate upon the copyright, literary, dramatic, trademark, patent, trade secret or any other rights, common law or otherwise, of any individual, corporation, or other entity.  The Undersigned also represents and warrants that they have all right, power and authority to assign, transfer, sell or grant the rights, title and interests assigned, transferred, sold and granted herein without the consent of any other party.

4. Release.
The Undersigned releases the CBA, its successors, assigns, officers, employees, agents, and licensees from any and all claims, causes of action, liabilities, and expenses, whether known or unknown, or currently existing or arising in the future, relating to or arising out of (a) the CBA’s use of the Recordings, Materials or any Work, (b) any statements concerning the Undersigned made by any other person participating in the Program, or (c) any grant of rights to the CBA under this Agreement.
